Terms of Service

These Terms of Service ("Terms") govern your access to and use of the msg10x platform, including our website, mobile applications, API, and all related services (collectively, the "Service"), provided by msg10x Technologies Private Limited ("msg10x", "Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office at Mumbai, Maharashtra, India.

By registering for an account, clicking "I Agree", or otherwise accessing the Service, you ("Customer", "you") agree to be legally bound by these Terms and our Privacy Policy. If you are accepting on behalf of a company, you represent and warrant that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Service.

msg10x provides a cloud-based WhatsApp CRM and customer engagement platform that enables businesses to:

• Send and receive WhatsApp messages through the Meta WhatsApp Business API
• Manage customer conversations across WhatsApp, Instagram, and Facebook Messenger
• Automate customer interactions using AI-powered chatbots and workflow automations
• Run WhatsApp broadcast campaigns to opted-in customer segments
• Process WhatsApp Pay transactions and COD-to-prepaid conversions
• Reduce return-to-origin (RTO) rates through AI-powered NDR management
• Access analytics, reporting, and team performance dashboards
• Integrate with Shopify, WooCommerce, Razorpay, and 30+ third-party tools

We reserve the right to modify, suspend, or discontinue any feature of the Service with 30 days' notice, except in cases of emergency security patches or regulatory compliance requirements.

To access the Service, you must register for an account by providing accurate, complete, and current information. You agree to:

• Maintain the confidentiality of your account credentials and not share them with unauthorised persons
• Immediately notify msg10x of any suspected unauthorised access to your account at security@msg10x.com
• Be responsible for all activity that occurs under your account, whether or not authorised by you
• Ensure all team members you add to your account are aware of and comply with these Terms
• Not create multiple accounts for the purpose of circumventing limits or bans
• Provide a valid WhatsApp Business Account verified with Meta to use WhatsApp features

msg10x may suspend your account if we detect unusual activity, suspected security breach, or violations of these Terms. We will make reasonable efforts to notify you before suspension, except where immediate action is required to protect the platform or other users.

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws. The following are strictly prohibited:

WhatsApp Compliance

• Sending messages to contacts who have not opted in to receive WhatsApp communications from your business
• Sending spam, unsolicited bulk messages, or misleading promotional content
• Violating Meta's WhatsApp Business Policy, Messaging Policy, or Commerce Policy
• Using the Service to send messages on behalf of a business not registered in your account

Prohibited Content

• Illegal content, including but not limited to child sexual abuse material (CSAM)
• Content promoting violence, terrorism, hate speech, or discrimination
• Fraudulent, deceptive, or misleading messages
• Malware, phishing links, or any content designed to compromise recipient devices
• Content violating any third-party intellectual property rights

Technical Restrictions

• Attempting to reverse engineer, decompile, or disassemble any part of the Service
• Circumventing rate limits, access controls, or security measures
• Using automated bots or scrapers to access the Service without prior written consent
• Reselling or sublicensing the Service without a valid Reseller Agreement with msg10x

Violation of this Acceptable Use Policy may result in immediate account suspension without refund and reporting to relevant authorities.

The WhatsApp messaging features of the Service are provided through the Meta WhatsApp Business API. Your use of these features is additionally governed by:

• Meta's WhatsApp Business Terms of Service (https://www.whatsapp.com/legal/business-terms)
• Meta's WhatsApp Business Messaging Policy
• Meta's Commerce Policy for businesses using WhatsApp for commerce
• Meta's WhatsApp Business Solution Provider Agreement (as passed through msg10x)

You acknowledge that Meta may independently restrict or terminate your access to the WhatsApp Business API for violations of their policies, independently of msg10x. msg10x is not liable for such actions by Meta.

You are responsible for obtaining valid opt-in consent from all customers before sending them WhatsApp messages. msg10x provides tools to manage consent but is not responsible for your opt-in process.

msg10x offers subscription plans on monthly and annual billing cycles. Pricing is displayed on our Pricing page and is subject to change with 30 days' notice.

Payment Processing

• All payments are processed by Razorpay Financial Solutions Pvt. Ltd., PCI-DSS Level 1 certified.
• Accepted payment methods: UPI, credit/debit cards (Visa, Mastercard, RuPay), net banking, and Razorpay wallet.
• Prices are in Indian Rupees (INR) and are exclusive of GST (18%) unless otherwise stated.
• GST invoices are auto-generated and available in your Billing dashboard within 24 hours of payment.

Auto-Renewal

• Subscriptions automatically renew at the end of each billing period unless cancelled.
• You will receive an email reminder 7 days before renewal for annual plans.
• Failed payments will trigger a 3-day grace period, after which account access may be restricted.

Overages

• WhatsApp conversation charges (per Meta's pricing) are billed monthly in arrears.
• Additional agent seats beyond your plan limit are billed pro-rata for the remaining billing period.

msg10x offers a 14-day free trial with full access to all features on the Growth plan. The following conditions apply:

• No credit card is required to start the trial.
• The trial is limited to one per business entity (company name, domain, or GST number).
• Trial accounts are subject to the same Acceptable Use Policy as paid accounts.
• At the end of the 14-day trial, your account will be automatically downgraded to a limited free tier — it will NOT be automatically charged.
• To continue with full access, you must manually select a paid plan.
• Data created during the trial is retained for 30 days after trial expiry on the free tier.

You own your data. msg10x claims no ownership over any customer data, conversation data, or business data you input into or generate through the Service.

• You grant msg10x a limited, non-exclusive, royalty-free licence to process your data solely for the purpose of providing the Service.
• msg10x processes your data as a Data Processor under your instructions, as described in our Privacy Policy and standard Data Processing Agreement (DPA).
• Upon account termination, you may export your data in JSON or CSV format. msg10x will provide export access for 30 days post-termination.
• msg10x may use anonymised, aggregated data (with no personally identifiable information) for product improvement and industry benchmarking.

The Service, including all software, algorithms, AI models, designs, text, graphics, logos, and trademarks, is the exclusive property of msg10x Technologies Private Limited or its licensors and is protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes during your subscription period.

"msg10x", the msg10x logo, and all related marks are trademarks of msg10x Technologies Private Limited. You may not use our trademarks without prior written consent.

To the maximum extent permitted by applicable law, msg10x and its directors, employees, agents, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business opportunities, or goodwill
• Damages resulting from unauthorised access to or alteration of your data
• Damages resulting from third-party services including Meta WhatsApp API outages, Razorpay payment failures, or AWS infrastructure issues
• Any damages exceeding the total fees paid by you to msg10x in the 12 months preceding the claim

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. msg10x makes no warranty that the Service will be uninterrupted, error-free, or meet all your requirements. Our target uptime SLA is 99.5% monthly, with exceptions for scheduled maintenance communicated 48 hours in advance.

Termination by You

• You may cancel your subscription at any time via Settings → Billing → Cancel Subscription.
• Cancellation takes effect at the end of the current billing period for monthly plans.
• Annual plan cancellations may be eligible for a pro-rated refund per our Refund Policy.
• You may export your data before cancellation via Settings → Account → Export Data.

Termination by msg10x

• msg10x may terminate your account immediately for material violations of these Terms, including Acceptable Use Policy breaches.
• msg10x may terminate accounts for non-payment after a 7-day grace period.
• In all other cases, msg10x will provide 30 days' written notice before termination.

Effect of Termination

• Access to the Service ceases upon termination.
• Your data is retained for 30 days post-termination and then permanently deleted.
• Provisions regarding data ownership, intellectual property, limitation of liability, and governing law survive termination.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator appointed by mutual agreement, proceedings conducted in English in Mumbai.
